These terms are an agreement between Spoto, Baghdad, Iraq ("Spoto", "we", "us") and the business that uses Spoto, together with each person who signs in to the Spoto app on that business's behalf ("you").
By signing in to the Spoto app or by using the Spoto phone agent, you agree to these terms. If you do not agree, do not use Spoto.
1. What Spoto is
Spoto has two parts that work on the same records:
- The phone agent — an AI voice agent that answers calls to your business's phone line and can book appointments, take orders and record tickets (complaints and requests), according to the modules in your plan.
- The Spoto app — a mobile app for you and your staff to see and manage those records, add your own, and control what the agent may do.
Together these are the "Service".
2. Who may use Spoto
- Spoto is a tool for businesses. It is not a consumer service.
- Accounts are created by Spoto, by invitation only. There is no sign-up in the app.
- You must be at least 18 years old.
- If you use Spoto for a business, you confirm that you are authorised to accept these terms for that business. The business is responsible for everyone it gives access to.
3. Your account
- Keep your password confidential. Do not share an account between people.
- You are responsible for everything done through your account.
- Business phones are often shared or left on a counter. We strongly recommend switching on the app lock in Settings.
- Tell us at once, through Settings → Contact support or at info@spoto.io, if you believe someone else has accessed your account. You can also use Sign out of all devices.
- Roles. Each member of a business has a role that decides what they can see and do. The owner is responsible for the roles given to staff and for removing access when someone leaves.
4. Your plan and payment
- The modules available to you (appointments, orders, tickets) and the length of your subscription are set out in your separate agreement with Spoto.
- Nothing is sold or paid for inside the app. Fees, renewals and changes to your plan are arranged directly with Spoto.
- The app shows your plan's status and expiry date for information only.
- If your subscription expires or your account is suspended, the phone agent stops answering your line and the app shows a "Service paused" screen until the plan is renewed. Your records are kept during this time, subject to section 13.
5. The phone agent — what you need to know
The agent is an automated AI system. Please read this section carefully.
5.1 It can make mistakes. The agent may mishear a caller, misunderstand a request, record a detail incorrectly, or fail to complete a call. You are responsible for reviewing the appointments, orders and tickets it records and for correcting them where needed. The app's "Needs a call back" list shows calls that probably did not end well; you should follow these up.
5.2 It is not for emergencies and it does not give advice. The agent does not give medical, legal, financial or other professional advice, and it must not be relied on for urgent or emergency situations. If your business may receive urgent calls, for example a clinic, you must give callers another way to reach a person.
5.3 It works from the information you give it. The agent offers callers appointment times from your working hours, staff and time off; items and prices from your item list; and answers from your business profile and common questions. You are responsible for keeping this information accurate and current. In particular:
- A change to working hours, appointment length or time off changes what the agent offers callers. Existing bookings keep their times. Blocking time off does not cancel bookings already inside it.
- The agent finds an item by the spoken names you give it. An item with no spoken names cannot be ordered by phone.
- Stock levels, order hours and the daily restock are applied as you set them.
5.4 Switching the agent off. If you stop the agent in the app, callers reach a line that connects and then disconnects. They do not hear a recorded message. Make other arrangements for your calls before switching it off.
5.5 What you control and what Spoto controls. You control whether the agent answers, which of your purchased modules it uses, and the business information it looks up. Spoto sets up and maintains the agent's voice, greeting, instructions and underlying AI model, and may change them to maintain or improve the Service.
5.6 Calls are recorded and transcribed. Calls answered by the agent are recorded, and a transcript of each call is logged and stored. Spoto uses recordings and transcripts to operate the agent, to check what was said when a booking, an order or a ticket is disputed, to investigate calls that went wrong, and to maintain and improve the agent. Recordings and transcripts are not shown or played in the app. How long they are kept is set out in the Privacy Policy.
5.7 Telling your callers. You are responsible for meeting any legal duty to tell callers that their call is answered by an automated AI agent, that the call is recorded and transcribed, and that their details are stored — and for obtaining their consent where the law requires it.
6. Your records and your customers' information
6.1 They are yours. The records in your business's account — customers, appointments, orders, tickets, items, working hours and your business profile ("Business Data") — belong to your business. We claim no ownership of them.
6.2 Our permission to use them. You give Spoto permission to host, process and display Business Data as needed to provide, secure and support the Service for you.
6.3 Your responsibilities. Business Data includes personal information about your customers and callers, such as names, phone numbers and delivery addresses. You decide what is collected and how it is used, and you are responsible for:
- Having a lawful basis to collect and use it, and giving your customers any notice the law requires.
- Entering only information you are entitled to hold. Optional customer details (age, residence, marital status, notes) should be recorded only where you have a genuine need.
- Not entering especially sensitive information, such as medical details, unless you are permitted to and have taken appropriate care.
- Answering your customers' requests about their information. We will help you where we reasonably can.
6.4 Our role. For your customers' information, Spoto acts on your behalf and on your instructions, as described in the Privacy Policy. We do not sell it and do not use it for advertising.
6.5 The record of changes. Spoto keeps a record of who created or changed each record and when. It cannot be edited or deleted through the app. It exists to protect you in a dispute.
6.6 Cancelled is not erased. Cancelling an appointment, an order or a ticket marks it as cancelled; the record remains in your history.
7. Acceptable use
You must not:
- Use Spoto for anything unlawful, or to harass, mislead or harm any person.
- Access, or try to access, another business's records.
- Try to get around the Service's security, role permissions, rate limits or technical restrictions.
- Probe, scan or overload the Service, or access it by any means other than the app we provide.
- Copy, decompile or reverse engineer the app or the agent, except where the law expressly allows it.
- Enter content that is unlawful, infringes someone else's rights, or is intended to manipulate the agent into misleading callers.
- Resell or sub-license the Service, or use it to build a competing product.
- Use the customer contact details in Spoto to send unsolicited marketing where the law does not allow it.
8. Other services Spoto works with
- Calls and WhatsApp. When you tap Call or WhatsApp, the app opens your phone's dialler or WhatsApp. Those services are provided by others under their own terms. Charges from your mobile operator may apply.
- Notifications are delivered by Google and Apple. They can be delayed or fail to arrive, and quiet hours hold them back on purpose. Do not rely on a notification as your only way of knowing about a booking, an order or an urgent ticket — check the app.
- App stores. The app is distributed through the Apple App Store and Google Play, whose own terms also apply. Apple and Google are not parties to these terms and are not responsible for the Service or its support.
- The Service depends on third-party hosting, telephony and AI providers. Their availability affects ours.
9. Availability, maintenance and updates
- We work to keep the Service available, but we do not promise that it will be uninterrupted or free of errors. Phone networks, internet connections and third-party providers are outside our control.
- We may carry out maintenance, during which the app or the agent may be unavailable. Where we can, we will announce planned maintenance in the app.
- We may add, change or remove features.
- Required updates. For security and compatibility, we may require you to update the app to a minimum version before you can continue using it.
- The app keeps a copy of recent records on your device so that it opens quickly. When you are offline, what you see may be out of date, and changes cannot be saved until you are connected.
10. Spoto's rights
The app, the phone agent, their design, software, names and logos belong to Spoto and its licensors. We give you a limited, non-exclusive, non-transferable right to use them for your business while your subscription is active and you follow these terms. No other rights are granted.
If you send us suggestions or feedback, we may use them without any obligation to you.
11. Disclaimers
To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
In particular, we do not warrant that:
- the agent will answer every call, understand every caller, or record every detail correctly;
- any appointment, order or ticket recorded by the agent is accurate or complete;
- notifications will be delivered, or delivered on time;
- the Service will meet any particular business result.
12. Limit of liability
To the fullest extent the law allows:
- Spoto is not liable for lost profits, lost revenue, lost business, lost customers or goodwill, loss of data, or any indirect, incidental, special or consequential loss, however it arises. This includes loss caused by a missed, dropped or misunderstood call; an incorrect, duplicate or missed booking or order; or a delayed or undelivered notification.
- Spoto's total liability for all claims connected with the Service is limited to the fees your business paid to Spoto for the Service in the three months before the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law.
13. Suspension and ending the agreement
By you. You may stop using Spoto at any time. To close your account, use Settings → Request account deletion in the app, or email info@spoto.io. Nothing is deleted until Spoto has confirmed the request with you.
By us. We may suspend or end your access if:
- your subscription expires or fees are not paid;
- you seriously or repeatedly break these terms;
- we need to do so to protect the Service, other businesses or callers, or to comply with the law.
Where it is reasonable, we will give you notice and a chance to put things right first.
What happens to your records. When the agreement ends, the phone agent stops answering your line and your access to the app ends. We keep your Business Data for 30 days, during which you may ask us for a copy. After that we delete or anonymise it, except where the law requires us to keep it. Retention is described further in the Privacy Policy.
Sections 6.1, 10, 11, 12, 14 and 16 continue to apply after the agreement ends.
14. Your responsibility for claims
You agree to cover Spoto's losses and reasonable costs arising from a claim by someone else that results from: your Business Data; your use of the Service in breach of these terms or the law; or a dispute between you and your customers, callers or staff.
15. Changes to these terms
We may update these terms. When we make a material change, we will tell you through an announcement in the app at least 14 days before it takes effect, and we will change the "Last updated" date above. If you continue to use Spoto after a change takes effect, you accept the updated terms. If you do not accept them, stop using Spoto and contact us.
16. General
- Governing law. These terms are governed by the laws of the Republic of Iraq. The courts of Baghdad have jurisdiction over any dispute, unless the law requires otherwise.
- Whole agreement. These terms, the Privacy Policy and your subscription agreement with Spoto are the whole agreement between us about the Service. If these terms and your subscription agreement conflict, the subscription agreement applies.
- If part is invalid. If a court finds part of these terms unenforceable, the rest remains in effect.
- No waiver. If we do not enforce a term, that does not mean we give it up.
- Transfer. You may not transfer this agreement without our written consent. We may transfer it as part of a merger, acquisition or sale of our business.
- Events outside our control. We are not responsible for a failure caused by events beyond our reasonable control, including network, telephony or power failures and failures of third-party providers.
- Language. These terms are available in English and Arabic. If the two versions differ, the Arabic version applies.
